Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by PortfolioStack, Inc. ("PortfolioStack," "we," "us," or "our"), including portfoliostack.com and any related applications or tools (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or using any part of the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

Certain features of the Service require an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information as needed
• Keep your password secure and not share it with others
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we believe have been compromised.

3. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service or its systems
• Copy, scrape, or systematically extract content from the Service without permission
• Use automated tools, bots, or scripts to interact with the Service without prior authorization
• Upload or transmit viruses, malware, or other harmful code
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Service

4. Subscription Plans and Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you authorize us to charge the applicable fees to your payment method on a recurring basis.

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period and you will retain access through that date.

We reserve the right to change subscription pricing with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

Refunds are handled on a case-by-case basis. If you believe you have been charged in error, contact us at support@portfoliostack.com.

5. Free Plan Limitations

If you use the Service on a free plan, your access is subject to the usage limits and feature restrictions applicable to that plan, as described on our pricing page. We reserve the right to modify free plan limits with reasonable notice.

6. Intellectual Property

The Service and all of its content, features, and functionality — including but not limited to text, graphics, data, software, and project templates — are owned by PortfolioStack, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. You may not copy, modify, distribute, sell, sublicense, or create derivative works from any part of the Service without our prior written consent.

7. User Content

You retain ownership of any content you create or upload through the Service, such as portfolio names, notes, and customizations ("User Content"). By submitting User Content, you grant PortfolioStack a limited license to use, store, and display that content solely as necessary to provide the Service.

You are solely responsible for your User Content and represent that you have all rights necessary to submit it. We do not routinely monitor User Content but reserve the right to remove content that violates these Terms.

8. Third-Party Services and Integrations

The Service may integrate with or link to third-party services, such as Google Sheets or payment processors. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by law, PortfolioStack disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Project templates and planning content provided through the Service are for informational purposes only and do not constitute professional legal, financial, or regulatory advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, PortfolioStack and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from:

• Your use of or inability to use the Service
• Any unauthorized access to or use of our servers or your personal information
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar issues transmitted through the Service

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless PortfolioStack and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your use of the Service or your violation of these Terms.

12. Termination

You may stop using the Service and delete your account at any time from your account settings.

We reserve the right to suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, posed a security risk, or engaged in conduct harmful to PortfolioStack or other users. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in Delaware.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the date at the top of this page and, where appropriate, by notifying you via email or through the Service. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
